TLT has acted for Mail Order Finance GmbH, part of the Klingel Group, in its acquisition of brands Artigiano and Rowlands of Bath, two ladies fashion businesses operated by Scotts Limited.
The Klingel Group is one of Germany's largest mail order companies and was previously active in 11 other European countries, but did not have a presence in the UK. Scotts Limited is a top 30 UK multi-channel catalogue retailer by volume.
The deal was negotiated and managed by partner Alice Gardner and solicitor Luke Thorngate-Davies in the corporate team at TLT. The TLT team also included legal director Jo Pritchard (IP) and associate Emma Davies (data protection).
Dirk Grötzinger Business Development M&A Head at Klingel, said: "TLT advised us on the options available and were extremely collaborative. They are clearly experts in the UK retail sector as well as getting corporate deals done quickly and efficiently. We are delighted with the outcome."
Alice Gardner said: "Distance-buying, whether through online, social media, digital TV or mail order channels, continues to be a significant trend in consumer shopping habits, particularly in the ladies fashion segment. This acquisition will enable Klingel to expand its presence across Europe and gain a foothold in a significant new market."
"The deal demonstrates TLT's experience and expertise in advising international clients on corporate and regulatory matters regarding their expansion plans into and within the UK, across all of our jurisdictions, whether that's through organic growth or M&A."
