TLT has advised Encore Capital and the management shareholders of portfolio company Stagecoach Theatre Arts on its sale to Trafalgar Entertainment Group.
The team advised on every stage of the transaction, culminating in a very significant return for Encore. TLT has advised Encore on several other major transactions in recent years, including the sale of email marketing software company Pure360 to Scottish Equity Partners, and the acquisition of The Third Space health club group from Graphite Capital.
Stagecoach operates the UK’s largest network of part-time performing arts schools with 45,000 students attending its classes each week. Encore worked with the business to bring in a new executive team, invest in its content and proposition and install new IT systems. The business has since doubled in size and has expanded into Germany, Canada and China.
Trafalgar specialises in live entertainment venues, production and screenings, and was founded by well-known entertainment entrepreneurs Sir Howard Panter and Dame Rosemary Squire.
The TLT team was led by corporate partner Jon Gill, supported by Bryan Shaw, Grant Edwards and David Wagget in corporate, Mark Braude in tax and Edward Pitt in real estate.
Shirin Gandhi, partner at Encore, said: “Having doubled the size of the business during our ownership, we are delighted that Stagecoach will continue to have the opportunity to grow and exploit even greater opportunities as part of the Trafalgar group. We are pleased to have worked with TLT again and are grateful for their consistently high quality of service."
Jon Gill, partner at TLT, said: "Having worked with Encore and the Stagecoach team during their investment journey, we were delighted to be able to support them on this landmark transaction, which both delivers a significant investment return and positions the business for future growth."
