This includes off-shoring and near-shoring as businesses look for creative solutions outside more established structures and jurisdictions.

TLT's Outsourcing team is experienced in working with outsourced service providers as well as those businesses considering outsourcing, whether of IT systems, facilities management, HR, payroll, logistics or other business processes.

The team regularly provides advice to clients in both the private and public sector on long-term business partnerships and service provision through outsourcing. This includes advising on a wide range of issues, from negotiating and drafting all legal documentation from invitation to tender, to the transfer of control of the outsourced function.

The strategic nature of the long-term partnership requires a genuine understanding of the function being outsourced and the specific objectives of the parties.

We have particular experience of acting for retail and financial services businesses wishing to outsource parts of their business. We therefore understand the need for flexibility and compliance.

  • Advising WHSmith on the outsourcing of its IT architecture and maintenance programme, moving from a prime contractor framework to a multivendor outsource with the appointment of Capgemini as integrator.
  • Advising The Co-operative Group on the outsourcing of secondary distribution from depots in the North West and Eastern regions of their UK distribution network to Wincanton Group.
  • Advising Somerfield in relation to the outsourcing of payroll and HR administration functions to Ceridian Group, including an off-shore element to Mauritius.
