Our Commercial Shipping team acts for a range of clients including ship owners, operators, charterers, shipyards, logistics companies, investors, lenders, trustees, liquidators and government agencies on a wide range of international shipping transactions involving vessel and business acquisition, finance and commercial co-operation.

Clients worldwide are advised on such matters as:

  • Drafting and negotiation of new building contracts.
  • Conversions
  • Long term time, voyage and slot charters
  • Bareboat finance and operating leases
  • Ship sale and purchase of second hand tonnage; scrap sales
  • Commercial cooperation agreements such as joint ventures and pool agreements.
  • Ancillary contracts, including ship management contracts and new building supervision agreements.
  • The acquisition of shipping businesses, distressed sales, the incorporation and administration of off-shore entities and UK agency companies.
  • UK and EU competition issues and safety and security regulations.
  • Acquisition finance for ships including ship mortgages, security assignments, personal, corporate and third party guarantees.

Highlights:

  • Acting for a Greek shipping group with respect to the negotiation of shipbuilding contracts for four newbuildings and the subsequent cancellation/ rescission following the builder’s voluntary administration.
  • Assisting European owner on the repurchase of a bulker newbuilding resale by acquisition of the buyer SPV with long term financing time charter.
  • Devising multi-jurisdictional joint venture agreements for an international shipping agency network.
